The difference in iOS numbers is simple:

aTV (why not iTV?) sees the portion of iOS that matters to it (4.2.1, 4.3, 4.?).

The aTV OS is built inside iOS, which has a current version of 4.3, soon to be 4.3.1.

So when you download from Apple, you're seeing iOS version, but on aTV, you're seeing it's version. They need to just unify the numbers, but that would mean updating everything at the same time. This would equal more frequent iOS updates, and longer JB waits.
It's not where you've been, or where you're going..
    It's where you are.
Reflect on the past, plan for the future, mod for today.

Does anyone have a weird issue that causes the AppleTV to randomly wake up? It happens in the middle of the night for me. So I am hoping this update fixes that issue.

Probably not. I got mine a couple of days ago from Apple and it didn't have the update. Go to your settings and check for update. It will tell you.
