05.15.04 modem firmware / baseband is not unlockable.
However, the phone can be unlocked by upgrading the baseband to iPad 6.15.0 baseband.
Warning: Installing it is not reversible and will break the GPS.
Download and run redsn0w 0.9.6rc16, select 4.2.1 firmware ipsw.
Select one (1) option 'Install iPad baseband'
The process is fairly quick. No other change to the phone is made.
Reboot.

iPad 6.15.0 baseband GPS issues are here: Dev-Team Blog
Look in Ultra-recycle.
Yes, it is installed 'on top of' the current 4.2.1 jailbreak.

ok thanks doing it now as we speak and another question? is it unthererd or tethered?

It doesn't jailbreak, just installs the iPad baseband.
The [un]tethered aspect doesn't change. And 4.2.1 is a untethered jb.
