What is the point of preserve your baseband if you have a Factory Unlocked 3gs. Beside your currently BB is not a unlock baseband anyway, ultrasn0w not support. I would do a clean restore from iTunes.
If you still insist to preserve your baseband then download your 3GS firmware from here:
iClarified - iPhone - Where To Download iPhone Firmware Files From
Then use the latest sn0wbreeze to create a BB preserve custom firmware. Put your iPhone into DFU mode, open iTunes > click Shift/ Restore and select your custom firmware to restore.

After you update to 5.0.1 use the latest redsn0w to do a utethered jailbreak. If you need the download link here:

Ok. Please tell me if this would work or not.
1. Download stock iOS 5.0.1 from iClarified
2.Create a custom ios through snowbreeze v2.9.1. By unchecking hacktivated.
3. Put the iphone in DFU mode.
4. Then use itunes to restore this custom ios.
I guess this method will keep my baseband untouched. Please let me know if I am wrong anywhere.I am currently having iOS 4.1(jailbreaked via snowbreeze).

Download stock 5.0.1 ipsw .
Run itunes > shift +restore to stock 5.0.1
Jailbreak with reedsn0w 0.9.10b4
That’s it.

I used original At&t sim to activate from iTunes but checking hacktivated from sn0wbreeze should works too. Jailbreak using sn0wbreeze or redsn0w is untethered on 5.0.1.

I did the following.
1. Created custom ipsw by snowbreeze 2.9.1 using simple mode and without activating.
2. Then I used the inbuilt iReb in snowbreeze to put my phone in DFU mode.
3. Then Using itunes:shift+restore i selected custom ipsw. Then the process started and my iphone got iOs 5.0.1
Everything was running smoothly but after i restarted my phone for 3-4 times, its showing very annoying behavior.
Whenever I turn off it, the phone turns off normally, but on turning it on it gets stuck on the apple logo. I waited for 6-7 minutes but no success. Now I found a way to start it. Here it is-> when its stuck on the apple logo, I pressed power + home button and the display goes blank . Then I releaed both the buttons and it starts within 1 minute.
I also tried to reinstall the iOs but unable to do that.
What I did is->
Turned my iphone in dfu mode using iReb in snowbreeze, then used itunes.
The process starts and takes a lot of time on "verifying restore with apple" and then it showed error 1602.
Please help me.

YOu'll need a At&t sim or Hacktivation from sn0wbreeze / Expert Mode to activate the iPhone. After you created a custom firmware, use reds0w/ Extra to enter Pwned DFU mode then open iTunes to restore.
